NOSHBOX TERMS AND CONDITIONS

  1.  INTRODUCTION

Welcome to Noshbox. These Terms and Conditions ("Terms") govern your access to and use of the Noshbox mobile application ("App"), website (http://www.noshbox.vn), and related services (collectively, the "Services") operated by Noshbox Company Limited ("we," "us," or "our"), a licensee of Mobilio Asia Pte Ltd.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

 

  1. DEFINITIONS

 

  • “User” or “Diner”Any individual who downloads and uses the Noshbox App to discover restaurants, make reservations, or access other features
  • “Restaurant” or “Restaurant Partner”Any food and beverage establishment that partners with Noshbox to offer reservation services and other features through the platform.
  • "Reservation": A booking made by a User through the App for dining at a Restaurant Partner.
  • "Account": The registered profile created by a User or Restaurant to access the Services.
  • "Content": All information, data, text, images, reviews, and other materials available through the Services.

 

  1. ELIGIBILITY

 

3.1 General Eligibility

You must be at least 18 years old to create an Account and use our Services. By using the Services, you represent and warrant that you meet this age requirement.

 

3.2 Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your Account credentials
  • You are responsible for all activities that occur under your Account.
  • You must notify us immediately of any unauthorized use of your Account.

 

  1.  SERVICES PROVIDED

 

4.1 For Diners

 

Noshbox provides Users with the ability to:

  • Browse and discover restaurants in Ho Chi Minh City
  • Make restaurant reservations
  • View restaurant information, menus, and availability
  • Receive booking confirmations and notifications
  • Truy cập hỗ trợ khách hàng

 

4.2 Dành cho Đối tác Nhà hàng

 

Noshbox cung cấp cho Đối tác Nhà hàng:

  • Một nền tảng để liệt kê cơ sở và dịch vụ của họ
  • Công cụ quản lý đặt chỗ
  • Truy cập dữ liệu đặt chỗ của khách hàng
  • Phân tích và thông tin chi tiết về hành vi khách hàng
  • Customer communication capabilities

 

4.3 Platform Role

Noshbox acts as an intermediary platform connecting Diners with Restaurant Partners. We are not a restaurant operator and do not provide food and beverage services directly.

 

  1. USER OBLIGATIONS

 

5.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Provide false, inaccurate, or misleading information
  • Impersonate any person or entity
  • Use the Services for any fraudulent or illegal activity
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any portion of the Services
  • Use automated systems (bots, scrapers) to access the Services
  • Upload viruses, malware, or any harmful code
  • Harass, abuse, or harm other Users or Restaurant Partners
  • Make fake or fraudulent reservations
  • Violate any applicable laws or regulations

 

5.2 Reservation Conduct

  • Users must honor confirmed reservations or cancel in accordance with the Restaurant's cancellation policy
  • Users must arrive on time for reservations
  • Users must provide accurate party size and special requirements
  • Repeated no-shows or late cancellations may result in Account suspension

 

  1. RESTAURANT PARTNER OBLIGATIONS

 

6.1 Information Accuracy

Restaurant Partners must:

  • Provide accurate and up-to-date information about their establishment
  • Maintain current menu, pricing, and availability information
  • Update operating hours, closures, and special events promptly
  • Ensure all promotional content is truthful and not misleading

 

6.2 Reservation Management

Restaurant Partners must:

  • Honor all confirmed reservations made through the platform
  • Respond to reservation requests in a timely manner

  • Maintain reasonable availability for bookings
  • Provide quality service consistent with their listing description

 

6.3 Compliance

Restaurant Partners must:

  • Comply with all applicable food safety and health regulations
  • Maintain all necessary licenses and permits
  • Comply with local labor and employment laws
  • Adhere to applicable consumer protection laws

 

  1. RESERVATIONS AND CANCELLATIONS

 

7.1 Reservation Process

  • Reservations are subject to availability and Restaurant Partner confirmation
  • Noshbox does not guarantee that any reservation request will be accepted
  • Confirmation notifications will be sent once a reservation is confirmed
  • Special requests are not guaranteed and are subject to Restaurant Partner discretion

 

7.2 Cancellation and Modification

  • Users may cancel or modify reservations through the App
  • Cancellations must comply with the Restaurant Partner's cancellation policy
  • Restaurant Partners may establish their own cancellation policies
  • Late cancellations or no-shows may be subject to penalties as determined by the Restaurant Partner

 

7.3 Restaurant Cancellations

  • Restaurant Partners may cancel reservations due to unforeseen circumstances
  • Users will be notified immediately of any Restaurant-initiated cancellations
  • Noshbox is not liable for cancellations made by Restaurant Partners

 

  1. FEES AND PAYMENTS / PHÍ VÀ THANH TOÁN

 

8.1 User Fees

  • Downloading and using the Noshbox App is free for Users
  • Some Restaurant Partners may require deposits or prepayments for reservations
  • Payment terms and methods will be clearly communicated before booking
  • All payments are processed through secure third-party payment gateways

 

8.2 Restaurant Partner Fees

  • Restaurant Partner fees and commission structures are governed by separate partnership agreements
  • Payment terms are outlined in the Restaurant Partner Agreement

 

8.3 Refunds

  • Refund policies are determined by individual Restaurant Partners
  • Noshbox does not control or guarantee refunds for cancelled reservations
  • Disputes regarding payments should be directed to contact@noshbox.vn

 

  1. INTELLECTUAL PROPERTY

 

9.1 Ownership

All content, features, and functionality of the Services, including but not limited to:

  • Software, code, and technology
  • Text, graphics, logos, and images
  • Design, layout, and user interface
  • Trademarks and brand elements
  • are owned by Mobilio Asia Pte Ltd (the "Licensor") and licensed to Noshbox Company Limited (the "Licensee") for operation of the Services. All intellectual property is protected by applicable intellectual property laws.

 

9.2 Limited License

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or business purposes in accordance with these Terms.

 

9.3 User-Generated Content

  • Users and Restaurant Partners retain ownership of content they submit
  • By submitting content, you grant Noshbox a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for operating and promoting the Services
  • You represent that you have all necessary rights to submit such content

 

9.4 Prohibited Use

You may not:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer or decompile any portion of the Services
  • Remove or alter any proprietary notices
  • Use Noshbox branding without prior written consent

 

 

 

  1. PRIVACY AND DATA PROTECTION

 

10.1 Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

 

10.2 Data Collection

We collect and process personal information necessary to provide the Services, including:

  • Account registration information
  • Reservation details and history
  • Location data (with your permission)
  • Device and usage information
  • Communications with us

 

10.3 Data Security

We implement reasonable security measures to protect your personal information. However, no system is completely secure, and we cannot guarantee absolute security.

 

10.4 Restaurant Partner Data

Restaurant Partners have access to User data necessary to fulfill reservations. Restaurant Partners must:

  • Use User data only for legitimate business purposes
  • Protect User data in accordance with applicable privacy laws
  • Not share or sell User data to third parties without consent

 

  1. REVIEWS AND RATINGS

 

11.1 User Reviews

Users may submit reviews and ratings of Restaurant Partners. By submitting a review, you agree that:

  • Your review is based on your genuine experience
  • Your review does not contain offensive, defamatory, or illegal content
  • Your review does not violate any third-party rights
  • Noshbox may moderate, edit, or remove reviews at its discretion

 

11.2 Restaurant Response

Restaurant Partners may respond to reviews. Responses must be professional and may not contain personal attacks or inappropriate content.

 

11.3 No Compensation

Reviews must be honest and unbiased. Users may not be compensated for positive reviews or threatened for negative reviews.

 

  1. DISCLAIMERS

 

12.1 Service "As Is"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

 

12.2 No Guarantee

Noshbox does not guarantee:

  • Uninterrupted or error-free operation of the Services
  • That defects will be corrected
  • That the Services are free from viruses or harmful components
  • The accuracy, reliability, or completeness of any content
  • That Restaurant Partners will fulfill reservations

 

12.3 Third-Party Services

The Services may contain links to third-party websites or services. Noshbox is not responsible for the content, policies, or practices of third parties.

 

12.4 Restaurant Quality

Noshbox does not guarantee the quality, safety, or legality of Restaurant Partner services. Users dine at Restaurant Partners at their own risk.

 

  1. LIMITATION OF LIABILITY

 

13.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOSHBOX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Loss of use or business interruption
  • Personal injury or property damage
  • Any damages arising from your use of or inability to use the Services

 

13.2 Maximum Liability

IN NO EVENT SHALL NOSHBOX'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO NOSHBOX IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

 

13.3 Restaurant Liability

Noshbox is not liable for:

  • Acts or omissions of Restaurant Partners
  • Food quality, safety, or preparation
  • Allergic reactions or food-borne illness
  • Disputes between Users and Restaurant Partners
  • Cancellations or no-shows

 

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Noshbox, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your content or conduct
  • Your reservations or interactions with Restaurant Partners

 

  1. TERMINATION

 

15.1 Termination by You

You may terminate your Account at any time by contacting us at contact@noshbox.vn.

 

15.2 Termination by Noshbox

We may suspend or terminate your Account immediately, without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You repeatedly fail to honor reservations
  • We are required to do so by law
  • We discontinue the Services

 

15.3 Effect of Termination

Upon termination:

  • Your right to access the Services will cease immediately
  • Outstanding reservations may be cancelled
  • We may delete your Account data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will remain in effect

 

  1. DISPUTE RESOLUTION

 

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

 

16.2 Jurisdiction

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Vietnam.

 

16.3 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at contact@noshbox.vn to attempt to resolve the dispute informally.

 

16.4 Arbitration (Optional)

If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Vietnam International Arbitration Centre (VIAC) rules, at the option of either party.

 

  1. MODIFICATIONS TO TERMS

 

17.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the App or website.

 

17.2 Notice of Changes

We will notify you of material changes by:

  • Posting a notice in the App
  • Sending an email to your registered email address
  • Updating the "Last Updated" date at the top of these Terms

 

17.3 Continued Use

Your continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.

 

  1. GENERAL PROVISIONS

 

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Noshbox regarding the Services.

 

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

 

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

 

18.4 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms without restriction.

 

18.5 Force Majeure

Noshbox shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

 

18.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Noshbox.

 

18.7 Language

These Terms may be translated into other languages. In case of conflict, the English version shall prevail.
